Productive AI Additional Terms of Service

These Productive AI Additional Terms of Service (“Productive AI Terms”) form a part of the Customer Terms of Service and User Terms of Service, as applicable, between you and Productive (the “Agreement”). These Productive AI Terms apply to your access and use of any Productive AI feature(s) and, if applicable, your Productive AI Add-On Subscription. Any terms used herein have the same meaning as in the Agreement.

For the purposes of these Productive AI Terms, the terms used here shall have the following meaning:

Your use of Productive AI is subject to fair usage restrictions. Productive is allowed to solely determine what is considered as “fair usage”. Productive is allowed at any time to discontinue further use of Productive AI services to all or particular Customers, based on its sole discretionary decision. If you are using Productive AI Add-On Subscription, and you exceed the usage permitted by your Subscription and Subscription Plan: (i) you may be required to upgrade your Subscription Plan or purchase additional usage to continue accessing and using Productive AI; and (ii) Productive may disable or degrade performance of such Productive AI features.

Productive may decide at any time: (i) include any of Productive AI services in Subscription Plan and stop offering free use of Productive AI, in which case terms of Productive AI Add-On Subscription shall begin to apply; (ii) change how Productive AI can be used; (iii) discontinue further use of some or all of Productive AI services.

Artificial intelligence and machine learning models can improve over time to better address specific use cases. We may use data we collect from your use of Productive AI to improve our features when you (i) voluntarily provide Feedback to us such as by labeling Output with a thumbs up or thumbs down; or (ii) give us your permission.

You may provide input to be processed by Productive AI (“Input”), and receive output generated and returned by Productive AI based on the Input (“Output”). When you use Productive AI, Input and Output are your Customer Data. You are solely responsible for the development, content, operation, maintenance, and use of your Customer Data. You will ensure that your Input and use of Productive AI and Output will not (i) violate any applicable law; (ii) violate these Productive AI Terms, the Agreement or our Acceptable Use Policy; or (iii) infringe, violate, or misappropriate any of our rights or the rights of any third party. You acknowledge that due to the nature of machine learning and the technology powering Productive AI features, Output may not be unique and Productive AI may generate the same or similar output to Productive or a third party. You may not use Productive AI or Output (i) to develop foundation models or other large scale models that compete with Productive or Productive AI; (ii) to mislead any person that Output from the Services was solely human generated; (iii) to generate spam or content for dissemination in electoral campaigns, or (iv) in a manner that violates any technical documentation, usage guidelines, or parameters.

Productive does not use your Customer Data or permit third-party providers to use your Customer Data to train the machine learning models used to provide the Productive AI. Your use of the Productive AI does not grant Productive any right or license to your Customer Data to train our machine learning models.

PRODUCTIVE DOES NOT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF PRODUCTIVE AI OR THE ACCURACY OF ANY OTHER INFORMATION OBTAINED THROUGH PRODUCTIVE AI. YOU UNDERSTAND AND AGREE THAT ANY CONTENT OR OUTPUT OBTAINED THROUGH THE USE OF PRODUCTIVE AI IS PROVIDED “AS-IS” AND OBTAINED AT YOUR SOLE RISK. YOU SHOULD NOT USE OR RELY ON PRODUCTIVE AI OUTPUT WITHOUT INDEPENDENTLY DETERMINING THE ACCURACY OF THE OUTPUT, AS ANY OUTPUT MAY CONTAIN MATERIAL INACCURACIES OR UNVERIFIED INFORMATION DUE TO THE NATURE OF MACHINE LEARNING OR CHANGES TO THE DATA MODEL AND/OR THE UNDERLYING DATA AFTER AN OUTPUT IS GENERATED. PRODUCTIVE AI CANNOT DYNAMICALLY RETRIEVE INFORMATION, AND OUTPUT MAY NOT ACCOUNT FOR EVENTS OR CHANGES TO UNDERLYING FACTS OCCURRING AFTER THE AI MODEL WAS TRAINED. NO INFORMATION, ADVICE, OR OTHER CONTENT, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM PRODUCTIVE OR THROUGH PRODUCTIVE AI SHALL CREATE ANY WARRANTY NOT EXPRESSLY SET FORTH HEREIN, AND PRODUCTIVE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PRODUCTIVE AI IS SUPPLEMENTAL TO THE SERVICES BEING OFFERED UNDER THE AGREEMENT, AND NOTWITHSTANDING ANYTHING TO THE CONTRARY IN YOUR AGREEMENT, PRODUCTIVE DOES NOT MAKE ANY WARRANTY REGARDING THE AVAILABILITY OR UPTIME OF PRODUCTIVE AI AND MAY DISCONTINUE OR MODIFY PRODUCTIVE AI OR THESE PRODUCTIVE AI TERMS AT ANY TIME IN ITS SOLE DISCRETION.

Notwithstanding anything to the contrary in your Agreement, downtime of Productive AI that results from a failure of a third party service will not be included in the uptime commitments in the Customer Terms of Service.

If you choose to use the Productive AI feature(s), you may not use the Productive AI features in a manner that violates any third-party AI service providers policies.
